Welcome to Shenhong Household Company. These Terms of Service ("Terms") govern your access to and use of our services, including purchasing high-end decorative lighting products, utilizing our OEM/ODM services, and engaging with us as a manufacturing partner. By placing an order or engaging our services, you agree to be bound by these Terms.
1. Company Information
Shenhong Household Company ("we," "us," or "our") was established in 2011 as a professional manufacturer specializing in the R&D and production of decorative lighting. We hold independent import and export rights approved by the Chinese government and operate a 4000-square-meter production base with end-to-end quality management systems.
2. Scope of Products and Services
Our offerings include a comprehensive portfolio of lighting solutions such as table lamps, Tiffany lamps, ceiling lamps, wall lamps, indoor floor lamps, and outdoor lights. We provide:
- Standard product manufacturing based on our internal designs.
- OEM (Original Equipment Manufacturer) services, producing goods according to your existing designs and specifications.
- ODM (Original Design Manufacturer) services, offering one-stop solutions from concept and 3D modeling to prototyping and mass production.
While we strive for perfection, slight variations in color, texture, or finish may occur due to manufacturing processes and material nature. These are not considered defects.
3. Orders and Contract Formation
All orders involve a commitment to purchase. We support various business models, including small-batch wholesale orders for online sellers on platforms like Amazon and eBay.
A contract is formed only when we issue a formal Order Confirmation or Proforma Invoice. We reserve the right to refuse or cancel any order for any reason at our sole discretion, including but not limited to product unavailability, errors in pricing or product information, or issues identified by our credit and fraud avoidance department.
4. Customization and Intellectual Property (OEM/ODM)
4.1 OEM Services
When engaging us for OEM services, you represent and warrant that you hold all necessary intellectual property rights, licenses, and permissions for the designs, specifications, and brand standards you provide. You agree to indemnify and hold Shenhong Household Company harmless against any claims of IP infringement arising from the production of goods based on your specifications.
4.2 ODM Services
For ODM projects where our R&D team develops designs based on your concepts, intellectual property ownership will be determined by a specific development agreement. Unless explicitly stated otherwise in writing, designs developed internally by Shenhong remain our intellectual property.
5. Payment Terms
Payment terms are agreed upon on a per-order basis and specified in the Proforma Invoice. Unless otherwise agreed in writing, a deposit is generally required to initiate production (especially for customized orders), with the balance due prior to shipment.
6. Production, Shipping, and Delivery
Our standard delivery lead times generally range between 15 to 35 days. This timeframe is an estimate and may be adjusted based on order volume, customization complexity, and current factory capacity.
While we aim to meet all delivery deadlines, Shenhong Household Company shall not be liable for any delays in shipping or delivery caused by circumstances beyond our reasonable control (Force Majeure), including but not limited to acts of God, war, strikes, customs delays, or supply chain disruptions.
7. Quality Assurance and Certifications
We operate under an ISO 9001 quality management system and implement strict quality control from raw materials to finished products. Our products are designed to meet international standards and hold various certifications to facilitate entry into European and American markets, including:
- Europe: CE (EN55015, EN61547), ERP Energy Efficiency.
- USA: UL, ETL (compliant with Amazon mandatory requirements).
- Global: CB Certification.
It is the buyer's ultimate responsibility to verify that the products ordered comply with all local laws, regulations, and safety standards of the destination country for import and sale.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Shenhong Household Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or revenues, arising out of or related to these Terms or the use of our products, whether based on contract, tort, or any other legal theory. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you for the specific order giving rise to the claim.
9. Communication
We are committed to efficient communication and aim to respond to inquiries, design modifications, and technical questions within 24 hours during business days.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved through amicable negotiation. If negotiation fails, the dispute shall be submitted to the competent court in the jurisdiction where Shenhong Household Company is located.
